These Terms and Conditions ("Terms") govern your access to and use of ZenPay's payment gateway services, website, APIs, plugins, and related services (collectively, the "Services"). By registering as a Merchant or using ZenPay Services, you agree to be bound by these Terms.
1. Definitions
"ZenPay" refers to Maya Wang Sdn. Bhd. and its affiliates.
"Merchant" refers to any individual, company, or organization registered to use ZenPay.
"Customer" refers to the end-user making payments through ZenPay.
2. Eligibility
To use ZenPay Services, you must:
- Be at least 18 years old;
- Have the legal authority to enter into binding agreements;
- Provide accurate and complete registration information.
3. Merchant Responsibilities
The Merchant agrees to:
- Comply with all applicable laws and regulations;
- Maintain accurate business information;
- Ensure products and services offered are lawful;
- Not use ZenPay for fraudulent, illegal, or prohibited activities.
4. Payment Processing
ZenPay provides payment processing services through supported banking and payment channels.
ZenPay does not guarantee uninterrupted or error-free services and may perform maintenance from time to time.
5. Settlement
ZenPay aims to process settlements as quickly as possible.
Settlement times are estimates and may vary due to:
- Banking system availability;
- Regulatory requirements;
- Fraud investigations;
- Technical interruptions.
ZenPay shall not be liable for delays caused by third-party financial institutions.
6. Fees
Merchants agree to pay all applicable fees as published by ZenPay.
ZenPay reserves the right to revise fees upon prior notice.
7. Prohibited Businesses
ZenPay reserves the right to reject or terminate accounts associated with:
- Illegal products or services;
- Gambling activities;
- Adult content;
- Money laundering activities;
- Cryptocurrency-related activities (unless specifically approved);
- High-risk businesses as determined by ZenPay.
8. Suspension and Termination
ZenPay may suspend or terminate accounts immediately if:
- Fraudulent activities are detected;
- Regulatory compliance issues arise;
- The Merchant breaches these Terms.
9. Limitation of Liability
To the fullest extent permitted by law, ZenPay shall not be liable for:
- Loss of profits;
- Business interruption;
- Indirect or consequential damages;
- Third-party service failures.
10. Intellectual Property
All trademarks, logos, software, APIs, plugins, and content remain the property of ZenPay.
11. Governing Law
These Terms shall be governed by the laws of Malaysia.
Any disputes shall be subject to the exclusive jurisdiction of the Malaysian courts.
12. Changes to Terms
ZenPay may update these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
